Terms and Conditions

The agreement between you and Capreact Private Limited for your use of Varthaanam — subscriptions and billing, what you and we each own, acceptable use, liability, and how disputes are resolved.

Last updated: 5 October 2026

These Terms and Conditions ("Terms") constitute a binding agreement between you — the individual or entity that registers to use or otherwise accesses the Services ("you" or "Customer") — and Capreact Private Limited, the company that owns and operates the Varthaanam brand and platform ("Capreact Private Limited", "Varthaanam", "we", "our" or "us"). They govern your access to and use of Varthaanam's website, platform, mobile applications, APIs, documentation and related services (together, the "Services"), available at https://varthaanam.com and related subdomains.

By registering for, accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Definitions

  • "Account" means your account registered with Varthaanam to access the Services.
  • "Workspace" means the shared environment in which your team's channels, conversations, contacts and settings live.
  • "Customer Content" means all content, data, text, images, files and other materials you provide to Varthaanam or cause to be provided, including messages received on the channels you connect and the knowledge base you upload.
  • "Generated Content" means output produced by Varthaanam's AI for your Account, including summaries, classifications and suggested replies.
  • "Third-Party Services" means software, platforms, APIs and services provided by third parties and used in connection with the Services — including Meta, Google, Razorpay and our infrastructure providers.

2. Provider status and service scope

2.1 Provider status

You acknowledge that Varthaanam is a product operated by Capreact Private Limited. The Services are provided on an "as-is" and "as-available" basis. Capreact Private Limited may change, modify, suspend or discontinue any part of the Services at any time, subject to section 4.11 and to the Cancellation & Refund Policy.

2.2 Service scope

The Services provide a unified customer-communication inbox that connects WhatsApp Business, Facebook Messenger, Instagram Direct, Gmail, custom email and a website chat widget, together with AI assistance for classification, summarisation and suggested replies, contact management, task and appointment tracking, automations and analytics.

The Services do not replace human review of what you send your customers, nor regulatory or professional (legal, medical, financial) advice, nor any statutory compliance obligation you have.

3. Eligibility and accounts

  • You must be at least 18 years old, have legal capacity to enter into these Terms, and be authorised to bind any organisation you represent.
  • You are responsible for all activity under your Account and your Workspace, and for keeping credentials secure. Notify varthaanam@gmail.com promptly of any unauthorised use.
  • You must provide accurate registration information and keep it current.
  • We may suspend or terminate Accounts for violations of these Terms, non-payment, or security reasons.

4. Subscriptions, pricing and billing

4.1 Subscription plans

Varthaanam is provided on a subscription basis at the price published on our pricing page. Fees are charged in advance at the start of each billing cycle.

4.2 Free trial

We offer a 14-day free trial on every plan. Trial usage is subject to trial-specific limits and to these Terms.

4.3 Usage limits

Each plan has defined limits — seats, connected channels, message volume and AI usage. Plan features and limits are published in the dashboard and on the pricing page, and may be updated on notice.

4.4 Payment

Payments are processed by Razorpay Software Private Limited. Capreact Private Limited is the seller of record. You must provide a valid payment method, and you authorise us to charge it for all fees including applicable taxes.

4.5 Taxes

Prices are exclusive of tax unless stated otherwise on the pricing page. Indian GST is charged at the applicable rate and a GST invoice is issued for every payment. You remain responsible for any other taxes or governmental assessments associated with your use, excluding taxes based on our net income.

4.6 Billing errors

Please notify us of billing errors within 30 calendar days of the charge so we can investigate promptly. Notifying us later does not waive any right you have under applicable law, and does not prevent us from correcting a genuine error at any time.

4.7 Refunds and cancellation

You may cancel at any time from the dashboard; cancellation takes effect at the end of the current billing period and you keep access until then. Fees are generally non-refundable, subject to the guaranteed refunds set out in the Cancellation & Refund Policy — which include service non-delivery, duplicate or erroneous charges, unauthorised transactions, and every right you have under applicable consumer law. Those exceptions prevail over any general statement to the contrary in these Terms.

4.8 Price changes

We may change pricing for future renewals on at least 30 days' notice by email or dashboard notification. Changes never apply retroactively to a period you have already paid for.

4.9 Failed payments

If a payment fails we may suspend access until the outstanding balance is cleared. We will attempt to notify you before suspending.

5. Rights, licences and content ownership

5.1 Customer Content

You retain ownership of Customer Content. By providing it to Varthaanam you grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display and process Customer Content solely as necessary to provide the Services to you — including routing messages, running AI features you invoke, and providing support.

You represent that you have the right to provide Customer Content and to grant this licence, including a lawful basis for any personal data of your own customers that enters the Workspace.

5.2 Generated Content

Subject to your compliance with these Terms, you own the Generated Content produced for your Account. We assign to you all right, title and interest in it to the extent transferable.

5.3 No training on your messages

We do not use your messages, your customers' messages or your knowledge base to train shared or third-party AI models. Content is sent to model providers transiently, only to produce the output you requested. We use only aggregated, de-identified operational metrics — volumes, latencies, error rates — to improve the platform.

5.4 Restrictions

You will not, and will not permit others to:

  • reverse engineer, decompile, disassemble or attempt to derive the source code, models or underlying architecture of the Services;
  • modify, adapt, translate or create derivative works based on the Services;
  • remove, alter or obscure proprietary notices or marks;
  • rent, lease, lend, resell, sublicense or otherwise transfer access to the Services to a third party, except as an authorised user of your own Workspace;
  • scrape, crawl or use automated means to extract data from the Services beyond the APIs we provide;
  • circumvent, disable or tamper with access controls, usage limits, authentication or security features; or
  • permit any third party to do any of the foregoing.

5.5 Your right to review us

Nothing in these Terms restricts your right to publish an honest review, opinion or public comment about Varthaanam. You may say what you like about our features, pricing, performance and your experience — favourable or not, and without asking us. We will not ask you to remove a review, condition support or refunds on one, or treat one as a breach of these Terms.

5.6 AI output — your responsibility

All AI output is generated by probabilistic models. You acknowledge that:

  • it may contain inaccuracies, errors, outdated information or statements that are misleading or incomplete;
  • you are solely responsible for reviewing and approving any AI-suggested reply before it is sent to a customer;
  • the decision to send is entirely your own, and you assume responsibility for it and its consequences;
  • we do not guarantee that AI output is accurate, complete, lawful, non-infringing or suitable for your purpose.

Where you enable automated sending without human review, you do so at your own risk and accept responsibility for what is sent.

6. Channel access and authorisation

  • By connecting a channel you authorise Varthaanam to receive and send messages on that channel on your behalf, through the official OAuth/Login flow of the provider.
  • You are responsible for holding the underlying accounts in good standing, and for complying with each provider's policies — including WhatsApp Business messaging rules, opt-in requirements and template approval.
  • We store credentials using industry-standard safeguards, but we are not liable for downtime, policy changes, rate limits, template rejections or account restrictions imposed by the channel providers themselves.
  • You can configure automation behaviour (auto-reply, AI mode, handoff rules) in the dashboard. You are responsible for messages sent automatically under the configuration you choose.

7. Acceptable use

You shall not use the Services to:

  • send unsolicited bulk messages, spam, or messages to people who have not opted in as the relevant channel requires;
  • send or store content that is illegal, defamatory, infringing, obscene, hateful or that promotes violence;
  • impersonate any person or organisation, or misrepresent your affiliation;
  • harvest contact data unlawfully, or process personal data without a lawful basis;
  • distribute malware, or attempt to compromise the security of the Services or circumvent use restrictions; or
  • violate any applicable law or third-party right.

We may remove or disable access to content that violates these Terms, and suspend or terminate Accounts, with notice where practicable and without notice where the risk requires it.

8. Privacy, data processing and security

  • Our Privacy Policy governs the collection, use and disclosure of personal data and forms part of these Terms.
  • For personal data belonging to your own customers, you are the Data Fiduciary (DPDP Act) or Controller (GDPR) and we are your Processor. A Data Processing Addendum including GDPR Article 28 terms and the EU Standard Contractual Clauses is available from varthaanam@gmail.com.
  • We implement reasonable administrative, physical and technical safeguards, described in the Privacy Policy. No system is perfectly secure and we do not guarantee prevention of all unauthorised access.
  • We maintain backups for operational purposes, but you should maintain your own copies of content critical to your business.

9. Beta features

Features offered as beta or preview are experimental and may be unstable. We may change or discontinue them at any time. They are provided "as-is" and may be excluded from warranties and service commitments.

10. Confidentiality

"Confidential Information" means non-public business, technical and financial information disclosed by a party. Each party will protect the other's Confidential Information with at least reasonable care. It does not include information that is publicly known without breach, already known to the receiving party, or lawfully obtained from a third party. A party may disclose Confidential Information where legally compelled, giving prior notice where permitted.

11. Intellectual property

  • We and our licensors retain all right, title and interest in the Services, including code, models, algorithms, architecture, the look and feel, and all improvements. Varthaanam is a trade mark of Capreact Private Limited.
  • You grant us a limited, revocable, royalty-free licence to display your name and logo to identify you as a customer. You can revoke this at any time by writing to varthaanam@gmail.com; we will stop using them in new materials immediately and remove them from existing materials we control within 30 days. Case studies and testimonials are used only with your separate prior approval.
  • If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use that feedback for any purpose.

12. Warranties and disclaimers

You represent and warrant that you have the right to provide Customer Content and to grant the licences in these Terms, and that your use of the Services will comply with applicable law.

Except as expressly set out in these Terms, the Services are provided "as-is" and "as-available". We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, consequential, incidental, special, exemplary or punitive damages, including loss of profits, loss of data or business interruption, arising from these Terms or the Services, even if advised of the possibility of such damages.

Our aggregate liability for direct damages arising out of or relating to these Terms shall not exceed the amounts you paid us in the twelve (12) months preceding the event giving rise to liability.

Some jurisdictions do not allow certain limitations; in those cases the above applies to the maximum extent permitted. Nothing in these Terms excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded by law — including a consumer's statutory rights under the Consumer Protection Act, 2019.

14. Indemnification

You will indemnify, defend and hold harmless Capreact Private Limited and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and reasonable expenses arising out of: (a) your breach of these Terms; (b) Customer Content; (c) messages you or your team send through the Services; or (d) any claim that Customer Content infringes or misappropriates a third party's rights.

15. Termination

  • Either party may terminate these Terms for material breach by the other if the breach is not cured within 30 days of written notice.
  • We may suspend or terminate Accounts for operational, security or legal reasons, with notice where practicable.
  • On termination your right to access the Services ends, connected channels are disconnected and their tokens deleted, and we handle your data as described in the Privacy Policy. Export anything you need before termination takes effect.
  • Sections 5, 10–14 and 16–21 survive termination, as does any obligation to pay fees already incurred.

16. Governing law and dispute resolution

16.1 Governing law

These Terms are governed by the laws of India, without regard to conflict of law rules. Subject to section 16.2, the courts at Bengaluru, Karnataka have exclusive jurisdiction.

16.2 Dispute resolution

The parties will first attempt to resolve any dispute in good faith through discussion, on written notice to the other party. If it is not resolved within 30 days of that notice, it will be referred to and finally resolved by arbitration on the following terms, which apply equally to both parties:

  • the arbitration is conducted under the Arbitration and Conciliation Act, 1996;
  • the tribunal consists of a sole arbitrator appointed by mutual agreement. If the parties cannot agree within 30 days, the arbitrator is appointed on application to the competent court under section 11 of that Act. Neither party has a unilateral right to appoint the arbitrator;
  • the seat and venue is Bengaluru, Karnataka, India;
  • the language is English;
  • the award is final and binding on both parties;
  • either party may apply to a competent court for interim relief at any time.

Consumer rights are preserved. Nothing in this section prevents a consumer from approaching a Consumer Commission under the Consumer Protection Act, 2019, the National Consumer Helpline (1915), or any other statutory forum; nor does it deprive a consumer resident in the EU or UK of the right to bring proceedings in the courts of their own country of residence.

17. General

  • Notices. Notices must be in writing, sent to the email associated with your Account or to varthaanam@gmail.com, and are effective on receipt.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganisation, sale of assets or change of control.
  • Severability and waiver. If a provision is invalid or unenforceable, the rest remains in force. Failure to enforce a right is not a waiver of it.
  • Entire agreement. These Terms, the Privacy Policy and the Cancellation & Refund Policy are the entire agreement between us regarding the Services, superseding prior agreements except an executed written agreement signed by our authorised representative.
  • Third-Party Services. Use of Third-Party Services is governed by their own terms; we are not liable for their acts or omissions.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Changes. We may update these Terms. Material changes will be notified by email or in-app notice at least 7 days before they take effect; continued use after that constitutes acceptance.
